OVERVIEW
Alpha Wellness Labs (“Alpha Wellness,” “we,” “us,” or “our”) operates alphawellnesslabsco.com (the “Site”) to facilitate B2B access to research-grade materials, documentation, and account services for verified research partners. By accessing the Site or using any related services (collectively, the “Services”), you agree to these Terms of Service (“Terms”).
- Research-Only Scope: All products distributed by Alpha Wellness Labs are supplied for in-vitro research and laboratory analysis only. Products are not for human or animal consumption, and not for diagnostic or therapeutic use. No statements on the Site constitute medical advice or instructions for use in humans or animals.
If you do not agree to these Terms, do not access or use the Site.
SECTION 1 - Eligibility and Account Verification
1.1 Institutional Use Only
Access to ordering functions is limited to verified research entities (e.g., laboratories, universities, CROs, distributors). We do not sell to patients or the general public.
1.2 Verification
We may require documentation to verify institutional status (e.g., business credentials, tax/license documentation, shipping eligibility). We may approve, decline, suspend, or terminate accounts at our discretion.
1.3 Account Security
You are responsible for maintaining confidentiality of your credentials and for all activities under your account. Notify alphainfo@alphawellnesslabsco.com immediately of any unauthorized access.
SECTION 2 - Research-Only Restrictions
2.1 Prohibited Uses
You agree not to:
- Use any product for human or veterinary administration.
- Use any product for diagnostic or therapeutic applications.
- Repackage, re-label, or represent products as suitable for medical use.
- Make or publish disease, benefit, dosing, or outcome claims.
- Circumvent verification, usage restrictions, or applicable laws.
2.2 No Clinical Guidance
Alpha Wellness does not provide dosing, treatment protocols, or clinical support. Any technical information is provided solely for research method and quality documentation.
SECTION 3 - Orders, Pricing, and Availability
3.1 Orders
All orders are subject to verification, availability, and acceptance. We may limit or refuse orders at our discretion (including limits per organization, shipping address, or payment instrument).
3.2 Pricing and Changes
Prices and product specifications may change without notice. We may modify or discontinue products or Services at any time.
3.3 Taxes
You are responsible for all applicable taxes, duties, and fees.
SECTION 4 - Payment and Billing
4.1 Accuracy
You agree to provide current, complete, and accurate billing information and to promptly update it.
4.2 Payment Processing
Payments may be processed by third-party providers. By submitting payment information, you authorize us and our processors to complete the transaction.
SECTION 5 - Shipping and Distribution
5.1 Domestic Distribution Only
We currently ship to U.S. institutional addresses. See the Shipping and Distribution Policy for processing times, carrier methods, and limitations.
5.2 Risk of Loss
Title and risk of loss transfer upon delivery to the carrier at our shipping point. You are responsible for proper receipt, handling, and storage consistent with research use.
SECTION 6 - Return, Refund, and Order Resolution
6.1 All Sales Final Once Shipped
Due to stability and chain-of-custody requirements, returns and exchanges are not accepted after shipment.
6.2 Cancellations
Order cancellations may be requested prior to shipment confirmation only.
6.3 Damages/Discrepancies
Report missing, incorrect, or damaged items immediately upon receipt to alphainfo@alphawellnesslabsco.com with order details. Resolutions (e.g., replacement or credit) are handled under our QA procedures.

SECTION 7 - Technical Information and Content
7.1 Informational Use
COAs, specifications, RUO statements, and other documents are provided solely to support research workflows and compliance documentation.
7.2 No Medical Claims
Content on the Site must not be construed as medical advice or as claims regarding safety, efficacy, or outcomes in humans or animals
SECTION 8 - User Content, Reviews, and UGC Moderation
8.1 Prohibited Submissions
Do not submit or publish reviews, comments, or content that include:
- Human use, dosing, or administration experiences
- Disease treatment, cure, prevention, or mitigation claims
- Weight-loss, muscle-building, anti-aging, performance, or outcome claims
- Before/after claims or images
8.2 Moderation
We may remove, edit, or refuse content that is noncompliant, misleading, infringing, offensive, or otherwise unsuitable, and we may restrict or terminate related accounts.
SECTION 9 - Intellectual Property
All Site content (text, graphics, logos, documents, and software) is owned by Alpha Wellness Labs or its licensors and protected by applicable IP laws. You may not copy, reproduce, distribute, or create derivative works without written permission.
SECTION 10 - Third-Party Tools and Links
The Site may provide access to third-party tools or link to external websites. These are provided “as is” and “as available.” We do not control, endorse, or assume responsibility for third-party sites, tools, or their policies.
SECTION 11 - Compliance, Export, and Sanctions
You are responsible for compliance with applicable laws and regulations governing your activities, including restrictions related to export, re-export, or transfer of materials or technical data.
SECTION 12 - Disclaimers
12.1 Products Provided “AS IS” (RUO)
Products and the Site are provided “AS IS” and “AS AVAILABLE” for research use only, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness.
12.2 No Warranties
We do not warrant uninterrupted, timely, secure, or error-free operation of the Site, or that defects will be corrected.
SECTION 13 - Limitation of Liability
To the maximum extent permitted by law, in no event shall Alpha Wellness Labs or its officers, directors, employees, agents, suppliers, or affiliates be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or lost profits, arising from or related to the Site, products, or these Terms, even if advised of the possibility. Our aggregate liability shall not exceed the amount paid by you for the specific order giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the minimum extent permitted by law.
SECTION 14 - Indemnification
You agree to defend, indemnify, and hold harmless Alpha Wellness Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or in any way connected with: (a) your use of the Site or products; (b) breach of these Terms; (c) violation of law; or (d) infringement of third-party rights.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of state and federal courts located in Orange County, California for any dispute arising from or related to the Site, products, or these Terms.
SECTION 17 - Termination
We may suspend or terminate access to the Site or Services at any time, with or without cause. Provisions that by their nature should survive termination (e.g., IP, disclaimers, limitations, indemnification, governing law) shall survive.
SECTION 18: Entire Agreement
These Terms, together with the Privacy Policy, Shipping and Distribution Policy, and Refund and Order Resolution Policy, constitute the entire agreement between you and Alpha Wellness Labs and supersede any prior agreements relating to the Site or products.
SECTION 19: Checkout Acknowledgment (Implementation Note)
At checkout, you must affirmatively acknowledge the following (checkbox required): “I understand that all Alpha Wellness Labs products are for in-vitro research and laboratory analysis only, not for human or animal consumption, and not for diagnostic or therapeutic use. I confirm I am an authorized representative of a verified research entity.”
